Our Service: We are a corporate and commercial law boutique. Our focus is almost exclusively on high level corporate and commercial work for carefully selected corporate clients and high net worth individuals.
Corporate Governance: We advise clients on the development of corporate governance regimes including advice relating to board structures and composition, responsibilities and liabilities of board directors and board decision. Our corporate clients frequently out-source their corporate compliance to us as we offer full and cost effective company secretarial and nominee services including company formation, maintenance of company registers and Registrar General records and support on all aspects of corporate governance. For new clients, we offer a risk assessment “health check” of their business operations to review from a legal and good corporate governance perspective.

Corporate And Commercial Law: We advise clients on routine legal issues that arise from their day to day operations and also those that arise in connection with mergers and acquisitions. We carry out legal due diligence and advise on strategic alliances (including joint ventures), intellectual capital, media and technology contracts, corporate restructuring and insolvencies.

Intellectual Capital: We have expertise in and advise on intellectual property protection in Ghana. In particular, we advise on the procedure for registration of trademarks, Copyright, domain names, and the procedure for obtaining licenses to use Ghanaian folklore. We also file searches to ascertain the availability of trademarks, and file applications for the registration of trademarks, copyright, patents and Ghanaian folklore.

We routinely answer questions on trademark definition, the classification followed in Ghana, term of registration and renewal, remedies available in case of infringement and passing off and schedule of charges for the registration of trademarks and patents.

Technology: We have been active in advising on technology related projects, agreements and joint-ventures. We have advised on outsourcing agreements and structures, software and technology services, technology banking platforms and services. Our clients range from cutting-edge start ups deploying new technology to established firms using technology to re-define the way they do business.

Finance: We have acknowledged expertise in advising on transactions in the primary financial markets including acquisition finance, venture capital & private equity, project and equipment finance and real estate finance. We advise vendors, developers, funders and contractors that are extending or receiving credit through loans, structured and project financings and debt restructurings. We have been particularly active in advising on structuring, financing and managing projects in the oil and gas sector.

Credit Management: Our Credit Management practice takes a proactive approach to ensuring that our clients have the right systems, documentation and structures to enable them extend credit in a way that best minimises the risk of default. Our credit management package includes credit assessment, drafting of credit and security documents. In the event of a default, we use our pre-litigation services to try and recover monies owing and only when that fails do we resort to the court system. Our fees in debt recovery are based on a small commission of recovered funds.

Employment: We draft and negotiate employment contracts on behalf of employers or top level executive management. We advise on immigration matters and apply for work and resident permits. We co-ordinate integration programmes, relocations and harmonising employment terms.

Tax law: Tax issues permeate most aspects of our work and we advise on general tax problems and tax planning. We also enter into negotiations on behalf of our clients with fiscal authorities.

SME (small and medium size enterprise) Desk: We are cognisant of the fact that the Ghana Club 100s of tomorrow are the SME's of today. Our SME Desk partners with a few carefully selected SMEs to whom we offer our SMEsuite of products such as trading terms and conditions, employment contracts, shareholders agreements. In addition, we offer these SMEs discounted rates for our advisory and retainer services for the first few months of the SME's existence.
